Terms of Service

1. Acceptance of These Terms
These Terms of Service (“Terms”) form a legally binding agreement between you and Inevara Pty Ltd (ABN [TBD — confirm with Inevara Pty Ltd before public launch]) (“Inevara”, “we”, “us”, or “our”) governing your use of the KINSHIP platform and associated mobile applications (collectively, the “Platform”).
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.
If you do not agree to these Terms, you must not create an account or use the Platform. We may update these Terms from time to time (see Section 17). Continued use after changes take effect constitutes acceptance.
2. Eligibility
You must be at least 18 years of age to create an account. By agreeing to these Terms you represent and warrant that you are 18 or older and have legal capacity to enter a binding contract.
If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
The Platform is primarily intended for users in Australia. If you use the Platform from outside Australia, you are responsible for complying with local laws applicable to your use.
3. Description of the Platform
3.1 What KINSHIP is
KINSHIP is an online family-services marketplace and matchmaking platform. We connect households seeking care services with independent care professionals (“Providers”) including nannies, tutors, au pairs, aged care workers, and household managers.
KINSHIP uses AI-powered matching technology — the CareMatch engine — to score and rank Providers based on care specialisation, certification, location, trust score, availability, and review quality.
3.2 What KINSHIP is not
Inevara is a technology platform operator, not a provider of care services. All care services are performed by independent Providers who are separate legal entities from Inevara. We do not employ Providers, and we do not direct or control the manner in which they perform their services.
Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship between Inevara and any Provider.
3.3 Platform availability
We aim to operate the Platform continuously but do not guarantee uninterrupted availability. We may temporarily suspend access for maintenance, security updates, or due to circumstances beyond our control.
4. User Accounts
4.1 Registration
You must register for an account to access most Platform features. You agree to provide accurate, current, and complete information and to keep your account information up to date.
4.2 Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [email protected] if you become aware of any unauthorised use of your account.
4.3 One account per person
Each individual or business entity may maintain only one account unless we have expressly permitted otherwise in writing.
4.4 Account suspension and termination
We reserve the right to suspend or terminate your account if we reasonably believe you have breached these Terms or engaged in fraudulent or harmful conduct. You may close your account at any time via Settings → Account → Delete Account.
5. Household Profiles
KINSHIP allows you to create a household profile that includes details about your family members. You represent and warrant that:
- You are the parent, legal guardian, or authorised representative of any individual whose personal information you add to your household profile.
- You have obtained any necessary consents to share the information of household members (including children and elders) with the Platform and with care providers upon booking.
- Information about care needs (including sensitive information such as disability, health conditions, or dietary requirements) is accurate and provided with the consent of the relevant individual or their guardian.
Inevara will use household member information only to facilitate care matching and booking as described in our Privacy Policy.
6. Bookings and Cancellations
6.1 Making a booking
A booking is confirmed when both the Provider accepts the request and a successful payment authorisation is obtained. By making a booking, you enter into a direct service agreement with the relevant Provider. Inevara is not a party to that service agreement.
6.2 Provider obligations upon booking
Providers who accept a booking agree to: (a) deliver the booked service at the agreed time and location; (b) hold any licences, certifications (including a valid WWCC where required), and insurance required by law; and (c) treat all household members with dignity and professionalism.
6.3 Cancellations by consumers
Cancellation and rescheduling policies are set by individual Providers and displayed on their profile before you confirm. Cancellation fees (if applicable) are processed by our payment processor.
6.4 Cancellations by providers
If a Provider cancels a confirmed booking, you will receive a full refund automatically. Providers who repeatedly cancel may have their accounts reviewed.
6.5 Disputes about service quality
Your primary recourse for complaints about service quality is against the Provider directly. Contact us at [email protected] and we will use reasonable efforts to mediate, though we are not a party to the underlying service agreement.
7. Payments and Refunds
7.1 Payment processing
Payments are processed by third-party providers including Stripe and/or Paddle. All prices are in Australian Dollars (AUD) unless otherwise stated. Applicable taxes (including GST where required) will be calculated and displayed before you confirm payment.
7.2 Refunds
Refunds for cancelled bookings will be processed in accordance with the Provider’s cancellation policy. Where a Provider cancels a confirmed booking, a full refund will be issued automatically within 5 business days.
Nothing in this Section limits rights you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)).
8. Provider-Specific Terms
The following additional terms apply to care professionals who register as Providers on the Platform:
- You must be legally authorised to provide the care services you list. Where a Working With Children Check (WWCC), aged care registration, or other licence is required by law, you must hold and maintain it and provide evidence on request.
- You are solely responsible for accurately describing your services, qualifications, pricing, availability, and cancellation policies.
- You must not accept bookings you cannot fulfil.
- You are responsible for complying with all applicable tax obligations on income earned through the Platform.
- You must not solicit consumers to transact outside the Platform within 12 months of a first introduction facilitated through KINSHIP.
- You agree to Inevara’s verification processes, which may include identity verification, WWCC checks, and credential reviews.
9. Prohibited Conduct
You must not use the Platform to:
- Violate any applicable law, regulation, or court order
- Engage in fraud, misrepresentation, or deception of any kind
- Harass, abuse, threaten, or intimidate any other user
- Post content that is defamatory, obscene, hateful, or racially offensive
- Infringe the intellectual property or privacy rights of any person
- Upload imagery that sexualises minors
- Use automated tools, bots, or scrapers without our prior written consent
- Interfere with or disrupt the Platform or connected networks
- Create multiple accounts or an account after your account has been terminated
Violation of this Section may result in immediate account suspension or termination and may be referred to law enforcement where appropriate.
10. Intellectual Property
The Platform, including its software, design, trade marks, trade names, logos, and all content created by Inevara is owned by or licenced to Inevara. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose.
“KINSHIP” and associated logos are trade marks of Inevara Pty Ltd. You must not use our trade marks without our prior written consent.
11. Disclaimers
To the maximum extent permitted by law, the Platform is provided “as is” and “as available” without warranties of any kind. We do not make any representation or warranty about the quality, suitability, safety, reliability, or credentials of any Provider. We encourage households to conduct their own due diligence before booking, including verifying WWCC status directly with the relevant authority.
The CareMatch AI engine provides suggestions based on multi-dimensional scoring. Match scores are indicative only and do not constitute a guarantee of suitability for any particular family.
12. Limitation of Liability
12.1 Australian Consumer Law carve-out
Nothing in these Terms limits or excludes any guarantee, warranty, right, or remedy that cannot lawfully be excluded under the ACL or any applicable Australian law.
12.2 Limitation where permitted
To the maximum extent permitted by law, Inevara’s liability to you for any claim is limited to the amount you paid to Inevara in the 12 months preceding the claim, or the booking fee for the specific booking at issue.
12.3 Consequential loss exclusion
To the maximum extent permitted by law, Inevara is not liable for any indirect, incidental, special, consequential, or punitive loss, including loss of profits, loss of data, or business interruption.
12.4 Provider liability
Inevara is not responsible for the acts or omissions of Providers, including personal injury, property damage, or dissatisfaction with care services. Your recourse for such claims is against the Provider directly.
13. Indemnification
You agree to indemnify, defend, and hold harmless Inevara and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to your breach of these Terms, your violation of any applicable law or third-party rights, or services you provide or fail to provide as a Provider.
14. Reviews and Ratings
Consumers may post reviews following a completed booking. Reviews must be honest, based on genuine experience, and comply with the content standards in Section 9. We reserve the right to remove reviews that violate our policies.
15. Privacy
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which forms part of these Terms and is incorporated by reference.
16. Changes to These Terms
We may update these Terms from time to time. When we make a material change, we will notify you by email and/or by displaying a prominent notice on the Platform at least 14 days before the changes take effect.
17. Termination
Either party may terminate these Terms at any time. Sections 10, 11, 12, 13, and 18 will survive termination.
18. General Provisions
18.1 Governing law and jurisdiction
These Terms are governed by the laws of the State of Queensland, Australia. Both parties submit to the exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia.
18.2 Dispute resolution
Before commencing formal proceedings, the parties agree to attempt to resolve any dispute by first notifying the other party in writing and engaging in direct negotiations for at least 20 business days.
18.3 Entire agreement
These Terms (including the Privacy Policy) constitute the entire agreement between you and Inevara with respect to your use of the Platform.
18.4 Severability
If any provision is found to be invalid or unenforceable, it will be modified to the minimum extent necessary or severed. The remaining provisions continue in full force.
18.5 Assignment
You may not assign your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger or acquisition.
